H2 said it was looking forward to reinforcing the company’s “excellent starting position” in both its Dutch and Polish operations.
It added that it expected to complete the deal in the second quarter of 2014 following statutory approval.
H2, which was founded in 1991, is headquartered in Amsterdam and has about €500m under management.
It targets medium-sized companies in Germany, Benelux and the UK.
Last September H2 invested in UK PVC-u door and window maker Eurocell.
The company, which also provides guttering products and plastic roofs for conservatories, generates about £150m in annual sales and employs 900 full-time equivalent staff.
